Statutes

§ 1

Name and registered offices:

(1) The association shall bear the name Taiwanese-German Association for Economic and Social Research, referred to in the following as Association for short.
(2) The Association shall be entered in the Register of Associations and shall have its registered offices in Bonn. The business year shall be the calendar year.

§ 2

Purpose:

(1) The Association shall have the purpose of promoting economic relations between the Federal Republic of Germany and the Republic of China (Taiwan).
(2) The purpose of the Statutes shall be accomplished in particular by the exchange of scientific information and practical experience. The Association shall primarily address foreign trade in the agricultural-industrial sectors of both countries in connection with their status in the European and Asian areas.

§ 3

Non-profit-making organization:

(1) The Association shall pursue goals exclusively and directly in the sense of the section "Purposes Subject to Tax-Breaks" in the Tax Regulations. Its resources shall be used exclusively to achieve the purposes of the Association.
(2) The Association shall act selflessly; it shall not primarily pursue its own economic purposes.
The members shall not receive any payments from the resources of the Association. Nor may anyone be afforded undue benefit through expenditures made for purposes inimical to the Association or receive unreasonably great remuneration.

§ 4

Membership:

The Association shall consist of
                           1) regular members
                           2) promoting members.
Regular membership may only be possessed by those persons who in terms of their prior education, experience and achievements in the fields of science and the field of practice are suited to promote to the tasks of the Association. The Board shall resolve to take persons on as members. Members' dues shall not be charged. The membership shall lapse as the result of death, departure or exclusion from the Association for an important reason by the Board. Exclusion shall be valid upon the serving of the resolution to the member excluded from the Association. A complaint against exclusion from the Association may be filed within a period of 14 days. The Members' Assembly shall render a final decision on the matter.
Promoting members may be natural and legal persons who want to support the work of the Association. Membership as a promoting member may be acquired by means of written declaration of intent to join the Association and the consent of the Board. Membership shall lapse in the event of death, and in the case of legal persons through the dissolution or notice of termination or exclusion for an important reason. The obligation to pay dues shall only lapse at the end of the respective calendar when the member leaves the Association. The complaint set out in section two above is allowed in the event of exclusion from the Association.

§ 5

Executive bodies of the Association:

The executive bodies of the Association shall be
                           1) the Members' Assembly
                           2) the Board.

§ 6

Members' Assembly:

The Members' Assembly shall issue resolutions pertaining to all matters which other executive bodies are not responsible for under the Statutes. In particular it shall be responsible for the following tasks:
                        1) Election of the Board
                        2) Approval of the budget proposal
                        3) Acceptance of the annual report and the budget statement
                        4) Changes in the statutes and the dissolution of the Association.
The regular Members' Assembly shall be convened at least once a year by the Chairman of the Board. An exceptional Members' Assembly shall be convened if the Board or at least one-third of the total number of the regular members apply for such. The regular and promoting members shall be invited to the Members' Assembly. The latter shall play a consultative role. The members shall be invited in writing and shall be informed of the agenda within a period of 14 days.
As a result of the geographical separation, the German and Taiwanese members shall meet separately. Resolutions shall be deemed to have been accepted when they have been accepted by a simple majority of the members present. A resolution can be accepted without Members’ Assembly if the majority of the regular members provide their consent pursuant hereto in writing.
Amendments to the Statutes and the dissolution of the Association may only be resolved at a Members' Assembly and with three-fourths of the votes of the members present.
Records shall be made of the resolutions and shall be signed by the Chairman or the Deputy Chairman and one additional member of the Board.

§ 7

Board:

(1) The Board shall manage the Association in accordance with the resolutions of the Members' Assembly, conduct the business, administer the assets of the Association and shall be accountable for the use of the resources which the  Association is granted by third parties.
The Board shall frame resolutions relating to the research program in the meaning of § 2.
(2) The Board shall consist of the Senior Chairman, who shall also conduct the business, the Deputy Chairman and up to six additional members. For the Board in the meaning of § 26 of the German Civil Code, the Senior Chairman, and if the Senior Chairman is impeded, a German member of the Board at the registered offices of the Association in Bonn, shall be entitled to represent the Association in and out of court. No evidence needs be provided that the Senior Chairman is impeded. 
(3)The members of the Board shall be elected by the Members' Assembly for a period of three years. Reelection shall be allowed. The Board shall remain in office until the next election. If a member of the Board leaves the Board before the expiration of his or her term of office, the other members of the Board shall appoint a suitable member of the Association to act as substitute for the remainder of the electoral term.
(4) The Board may establish a business office and appoint full-time staff. The Board may assign already existing facilities to perform certain affairs of the Association.
(5) The Board shall be empowered to resolve and carry out amendments to the Statutes which are proposed by the administrative authority or which are of an editorial nature if the principles set out in the Statutes are not changed alone.
(6)The activity of the members of the Board with the exception of the Chairman in Charge of Business Affairs shall be voluntary. Expenses incurred may be recompensed.

§ 8

Finances:

The financial needs of the Association shall be covered by contributions made by the promoting members and by grants from third parties.

§ 9

Dissolution:

The assets of the Association shall accrue to a public-law corporation or another corporation subject to tax benefit upon the dissolution of the Taiwanese-German-Association for Economic and Social Research or if its original purpose is changed for non-profit purposes in the meaning of § 2 of these Statutes.
